1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Raastey ("Company," "we," "us," or "our"), governing your access to and use of the website located at raastey.co and any associated subdomains, products, services, and content (collectively, the "Services"). By accessing or using the Services in any manner, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Services following any modification constitutes your acceptance of the revised Terms. The date of the most recent revision is indicated at the top of this document.

2. Intellectual Property Rights

All content, design, code, copy, trademarks, service marks, trade dress, logos, typefaces, iconography, data structures, methodologies, and other intellectual property published, displayed, or otherwise made available through the Services — including but not limited to the Raastey wordmark, venture brand identities (roono, NauticGrid, Factoura, MyMassGov), the written copy, visual design system, and source code — are the exclusive property of Raastey and its founders, licensors, or affiliated entities and are protected under applicable United States and international intellectual property laws, including:

  • The Copyright Act (17 U.S.C. § 101 et seq.)
  • The Lanham Act (15 U.S.C. § 1051 et seq.) governing trademarks
  • The Defend Trade Secrets Act (18 U.S.C. § 1836 et seq.)
  • The Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA")

No license is granted. Nothing in these Terms shall be construed as granting any license, express or implied, by estoppel or otherwise, to any intellectual property rights. You may not reproduce, redistribute, republish, copy, display, perform, transmit, sell, modify, create derivative works from, decompile, reverse-engineer, or otherwise exploit any element of the Services or their content without the prior express written consent of Raastey.

3. Permitted Use

Subject to these Terms, Raastey grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your own lawful, personal, non-commercial informational purposes. This license does not include:

  • Any resale or commercial use of the Services or their contents
  • Any collection or use of product listings, descriptions, prices, or any other content
  • Any derivative use of the Services or their contents
  • Any downloading or copying of account information for the benefit of any third party
  • Any use of data mining, robots, spiders, scrapers, or similar automated data-gathering or extraction tools on the Services for any purpose
  • Training, fine-tuning, or otherwise using any Raastey content to develop, improve, or augment any artificial intelligence or machine learning model, system, or dataset — including large language models, image generation models, or any generative AI system — without express written authorization

4. Prohibited Conduct

You agree not to:

  • Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
  • Impersonate Raastey, any Raastey venture, or any Raastey personnel
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • Attempt to gain unauthorized access to any portion or feature of the Services, any other systems or networks connected to the Services, or any Raastey server
  • Probe, scan, or test the vulnerability of the Services or any associated network or system
  • Use any communication channel (including email to hello@raastey.co) to send spam, unsolicited commercial email, or bulk messages
  • Misrepresent your identity, affiliation, or relationship with any entity in connection with the Services

5. Third-Party Ventures and External Links

The Services contain links to and information about independently operated Raastey ventures (roono, NauticGrid, Factoura, and related ventures), each of which operates under its own terms of service, privacy policy, and licensing agreements. Links to these ventures or any other third-party websites do not constitute an endorsement of such websites or any association with their operators. Raastey has no responsibility or liability for the content, privacy practices, or conduct of any third-party website. You access third-party websites entirely at your own risk.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. RAASTEY DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (C) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

Any content on the Services is provided for general informational purposes only and does not constitute investment advice, legal advice, financial advice, or any other professional advice.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAASTEY, ITS FOUNDERS, OPERATORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES OR ANY CONTENT ON THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF RAASTEY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, RAASTEY'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. IN ALL CASES, RAASTEY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless Raastey and its founders, operators, employees, contractors, agents, licensors, partners, and officers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your use of the Services caused damage to a third party.

9. DMCA Notice and Takedown

Raastey respects the intellectual property rights of others and expects users to do the same. If you believe that any content on the Services infringes upon your copyright, please send a written notification to our designated agent containing the following information as required by 17 U.S.C. § 512(c)(3):

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed, with sufficient information to permit us to locate the material
  • Your contact information, including address, telephone number, and email address
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware. You consent to the personal jurisdiction and venue of such courts and waive any objection to the exercise of jurisdiction over you by such courts or to venue in such courts.

Before filing any claim, you agree to attempt to resolve any dispute informally by contacting Raastey at hello@raastey.co. If the dispute is not resolved within thirty (30) days of such notice, either party may pursue formal legal proceedings.

11. Entire Agreement

These Terms, together with the Privacy Policy and IP & Licensing Notice, constitute the entire agreement between you and Raastey with respect to the Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof. If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
